Introduction

Tradelok Inc. ("Tradelok," "Company," "we," "us," or "our") respects your privacy and is committed to protecting it through our compliance with this policy.

Tradelok interacts with personal information in two distinct ways, and this policy is organized to address each separately:

  • through www.tradelok.com (our "Website"), which describes our company and services to the public; and

  • through our software platform — comprising interconnected web, desktop, and mobile applications, together with the email and other secure integrations that connect them (the "Service") — designed to help companies ("Tradelok Customers") share their information, content, materials, files, and folders (together, their "Content") through accounts operated by their authorized personnel ("Tradelok Users"), and to analyze how that Content is viewed or received by the Tradelok Customer’s customers, prospective customers, and other third parties who are not registered Tradelok Users ("Viewers").

The Website and the Service involve different data practices. Sections below are labeled "The Website" or "The Service" wherever a practice applies to only one of the two channels; sections that apply to both are labeled accordingly. Please read this policy carefully to understand our practices. If you do not agree with them, your choice is not to use our Website or Service. By accessing or using the Website or the Service, you agree to this Privacy Policy. This policy may change from time to time (see Changes to Our Privacy Policy); your continued use after changes are posted is deemed acceptance of those changes.

Scope of This Policy

This policy applies to information we collect:

  • On the Website; and

  • Through the Service, including our mobile and desktop applications for managing and tracking trade secrets and related information, and any associated email integrations or other secure integrations we offer.

This policy does not apply to information collected:

  • By us offline or through any other means, including any other website operated by Tradelok or a third party; or

  • By any third party, including through any application or content (including advertising) that may link to or be accessible from or through the Website or the Service.

Children Under the Age of 16

Neither the Website nor the Service is intended for use by children under 16 years of age. No one under age 16 may provide any information to or on the Website or through the Service. We do not knowingly collect personal information from children under 16. If you are under 16, do not use or provide any information on the Website or the Service, register on the Website, or provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or user name you may use. If we learn we have collected or received personal information from a child under 16 without verification of parental consent, we will delete that information. If you believe we might have information from or about a child under 16, please contact us at contactus@tradelok.com.

Residents of certain states under 13, 16, or 18 years of age may have additional rights regarding the collection and sale of their personal information. Please see Your Local Privacy Rights for more information.

Information We Collect

The Website

Our practice on the Website is deliberately narrow: we do not collect personal information about Website visitors except where a visitor chooses to give it to us.

Information you voluntarily provide. We collect personal information through the Website only when you voluntarily submit it to us — for example, by completing our online contact or inquiry form, registering interest in the Service, or corresponding with us by email. Information you may choose to provide in this way includes your name, postal address, email address, telephone number, employer, or any other identifier by which you may be contacted online or offline (“personal information”). You may also choose to post material to public areas of the Website (“User Contributions”); User Contributions are posted and transmitted at your own risk, and we cannot guarantee they will not be viewed by unauthorized persons.

Automatic collection for web analytics. Beyond what you voluntarily submit, we do not collect personal information through the Website. When you browse the Website, we use standard automatic technologies — cookies and web beacons, described below — to collect aggregate technical and usage information, such as:

  • Traffic data, logs, and the pages you access and use;

  • Information about your computer and internet connection, including IP address, operating system, and browser type; and

  • General location information derived from your IP address.

We use this information solely for web analytics purposes: to estimate audience size and usage patterns, recognize returning visitors, speed up searches, and otherwise understand and improve Website performance. We do not use it to identify you individually, and we do not link it to personal information you may separately submit through our form unless necessary to respond to your inquiry or to secure the Website. (Certain technical identifiers, such as an IP address, may be treated as personal information under some laws even though we do not use them for identification purposes; see Your Local Privacy Rights.)

The Service

The Service works differently from the Website because it is a software platform — with connected web, desktop, and mobile applications — that Tradelok Customers use, through the Tradelok Users they authorize, to share Content and to understand how that Content is viewed. Personal information is a necessary part of how the Service operates, for Tradelok Customers, the Tradelok Users they authorize to access the Service on their behalf, and the Viewers with whom Content is shared.

Information from Tradelok Customers and Users. We collect the account and subscription information a Tradelok Customer provides when it registers for and subscribes to the Service, together with the profile information provided by the Tradelok Users it authorizes — for example, when an authorized individual logs in, posts material, requests support, completes a survey, or carries out a transaction on the Tradelok Customer’s behalf. We use this information to deliver the Service and to provide Tradelok Customers with reporting and analytics about how their Content is used.

Information we automatically collect about Viewers. If you are a Viewer who receives and views Content that a Tradelok User shares with you through the Service, we automatically collect information about your interaction with that Content, including:

  • Whether and when you have viewed or are viewing the Content;

  • The date and time you viewed the Content;

  • The number of times, and length of time, the Content was viewed;

  • Your email address, which you or the Tradelok User provides when the Content is shared with you; and

  • Your IP address and general location.

We store and process this Viewer information on behalf of the Tradelok Customer whose Tradelok User shared the Content with you, and it is made available to that Tradelok Customer through the Service — for example, so the Tradelok Customer can see when and by whom their Content was viewed — and it may be associated with other information about the Viewer (including personal data) that the Tradelok Customer has separately provided to us. If you provide information to a Tradelok User through the Service, you do so subject to that Tradelok Customer’s own privacy practices; Tradelok is not responsible for a Tradelok Customer’s privacy practices and only processes Viewer information in accordance with our agreement with that Tradelok Customer.

Automatic Data Collection Technologies We Use

The automatic technologies referenced above include:

  • Cookies (or browser cookies). A cookie is a small file placed on the hard drive of your computer. You may refuse browser cookies by adjusting your browser settings, though doing so may prevent you from accessing certain parts of the Website or Service. Unless you adjust your settings to refuse cookies, our system will issue cookies when you direct your browser to the Website.

  • Web beacons. Pages of the Website, portions of the Service, and our emails may contain small electronic files known as web beacons (also called clear gifs, pixel tags, or single-pixel gifs) that let us count visitors to a page or recipients who opened an email, and compile other related statistics (for example, verifying system and server integrity).

Third-Party Use of Cookies and Other Tracking Technologies

Some content or applications on the Website and Service, including advertisements, are served by third parties — advertisers, ad networks and servers, content providers, and application providers. These third parties may use cookies, alone or with web beacons or other tracking technologies, to collect information about you when you use the Website or Service. The information they collect may be associated with your personal information, or they may separately collect information — including personal information — about your online activities over time and across other websites and online services, in order to provide you with interest-based advertising or other targeted content.

We do not control these third parties’ tracking technologies or how they are used. If you have questions about a particular advertisement or targeted content, contact the responsible provider directly.

How We Use Your Information

Website information

We use information collected through the Website to present the Website to you, respond to inquiries you submit through our form, fulfill any purpose for which you provided the information, notify you of changes to the Website, and — through aggregate analytics only — to understand and improve Website performance.

Service information

We use information collected through the Service to deliver the Service; to provide Tradelok Customers with reporting and analytics regarding Viewer interaction with their Content; to send subscription-related notices, including expiration and renewal notices; and to carry out our obligations and enforce our rights under our agreements with Tradelok Customers, including for billing and collection. Data relating to Viewers is made available to the Tradelok Customer whose Tradelok User shared Content with them, and may be associated by that Tradelok Customer with other information about Viewers that the Tradelok Customer has separately provided to us or that Viewers have separately provided through the Service. Tradelok does not use or access Viewers’ personal data except with a Tradelok Customer’s permission, in order to provide the Service and related support.

With respect to the Service, we also process limited personal data — such as IP addresses, access logs, timestamps, email addresses, and device information — on the basis of our legitimate interest in ensuring the security and confidentiality of information. This processing is strictly necessary to:

  • Prevent unauthorized access to or disclosure of confidential or proprietary data;

  • Detect and investigate potential security incidents;

  • Maintain the integrity and availability of our systems; and

  • Demonstrate compliance with applicable confidentiality and data-protection obligations.

Separately, the Tradelok Customer who shares Content with you has a legitimate interest in using the Viewer information described above to help enforce confidentiality obligations and protect its intellectual property rights in the Content, including, where necessary, to establish, exercise, or defend a legal claim. We process this information on the Tradelok Customer’s behalf for that purpose and retain it only as long as necessary to support such enforcement, consistent with applicable limitations periods.

Purposes common to the Website and the Service

We also use information we collect, including any personal information, to allow you to participate in interactive features, to carry out any other purpose we describe to you when you provide the information, and for any other purpose to which you consent. We may use information we have collected to display advertisements to our advertisers’ target audiences; we do not disclose your personal information for this purpose without your consent, though if you interact with an advertisement the advertiser may infer that you meet its target criteria. If you do not want us to contact you about our own or third parties’ goods and services, you may adjust your preferences in your account profile.

Disclosure of Your Information

We may disclose aggregated information about our users, and information that does not identify any individual, without restriction. Otherwise, we do not disclose personal information we collect or you provide, as described in this policy, without your consent or unless required by law. We may disclose personal information:

  • To comply with a court order, law, or legal process, including in response to a government or regulatory request;

  • To enforce or apply our Terms of Service (tradelok.com/terms) and other agreements, including for billing and collection; and

  • If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Tradelok, our customers, or others, including for fraud protection and credit-risk reduction.

Service-specific disclosure. When a Viewer receives Content from a Tradelok User through the Service, we show that Tradelok User the Viewer’s email address, the date and time the Content was viewed, the number of times it was viewed, and the Viewer’s IP address and location.

Choices About How We Use and Disclose Your Information

Tracking technologies and advertising. You can set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. If you disable or refuse cookies, some parts of the Website or Service may become inaccessible or fail to function properly.

We do not control third parties’ collection or use of your information for interest-based advertising, though these third parties may offer their own opt-out choices. You can opt out of targeted ads from members of the Network Advertising Initiative (“NAI”) on the NAI’s website.

Your Local Privacy Rights

California, Colorado, Connecticut, Delaware, Florida, Indiana, Iowa, Montana, Oregon, Tennessee, Texas, Utah, Virginia, and members of the European Economic Area provide (now or in the future) their residents with rights to:

  • Confirm whether we process their personal information;

  • Access and delete certain personal information;

  • Correct inaccuracies in their personal information, taking into account the nature and purpose of the processing (excluding Iowa and Utah);

  • Data portability;

  • Opt out of personal data processing for:

    • targeted advertising (excluding Iowa);

    • sales; or

    • profiling in furtherance of decisions that produce legal or similarly significant effects (excluding Iowa and Utah); and

  • Either limit (opt out of) or require consent to process sensitive personal data.

Data Security

We have implemented measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure. All information you provide to us is stored on our secure servers behind firewalls. Any payment transactions will be encrypted.

The safety and security of your information also depends on you. Where we have given you (or where you have chosen) a password for access to certain parts of the Website or Service, you are responsible for keeping this password confidential. We ask you not to share your password with anyone. You are also responsible for operating the devices you use to access the Service and should regularly perform operating-system updates and maintenance, including implementing and maintaining current antivirus software and security configurations.

Unfortunately, the transmission of information via the internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of information transmitted to the Website or Service; any transmission is at your own risk. We are not responsible for circumvention of any privacy settings or security measures on the Website.

We retain personal data for as long as necessary to deliver the Service and complete the transactions you have requested, adhere to legal requirements, settle disputes, uphold our agreements, and pursue other valid and lawful business objectives. Retention periods may differ depending on the type of information and the channel involved, and can fluctuate based on factors such as user consent or expectations, the sensitivity of the data, the presence of automated deletion controls, and our legal or contractual commitments.

Trust, Compliance, and Reporting Concerns

Tradelok maintains administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of the information we process through the Website and the Service, and we periodically review these safeguards as part of our internal security and compliance program.

If you have a question or concern about our privacy or security practices, or believe this policy has not been followed, you may contact us at contactus@tradelok.com. If you would like to raise a concern or report a suspected privacy or security issue anonymously, you may instead submit it through the Contact Us form on our Website, which does not require you to provide your real name or any other identifying information. We review all reports we receive, including anonymous submissions, and do not take retaliatory action against anyone who raises a good-faith concern about our data practices.

Changes to Our Privacy Policy

It is our policy to post any changes we make to this privacy policy on this page. If we make material changes to how we treat our users’ personal information, we will notify you through a notice on the Website home page. The date this policy was last revised is identified at the top of the page. You are responsible for ensuring we have an up-to-date, active, and deliverable email address for you, and for periodically visiting the Website and this privacy policy to check for changes.
